1. Executive summary
Pennzoil is the market leader for automotive motor oil industry. Due to a low product differentiation, Motor oil market is in a competitive situation. On the other hand, quick lube industry is in the early stages of growth given consumers' needs for quick service. Jiffy Lube, which has a 26% quick lube market share, run the risk of bankruptcy because of excessive debts, and finally the company decided to dispose of the company. Since Pennzoil's key success factors could be success factors in quick lube market, Pennzoil needs to acquire Jiffy Lube and enter the quick lube market. (Appendix1)

2-1. Motor oil industry - 5 forces analysis
First, intensity of rivalry is very high because of sophisticated concentration, low product differentiation, and low industry growth. Second, threat of new entrants is low since access to distribution channel is hard to expand, and it is important to succeed in that industry and the industry has a high capital requirement and economies of scale.
