소개글

Common law is different from Article 2 of UCC(Uniform Commercial Code). Article 2 of UCC in the sales contract applies Article 2 of UCC. However, article 2 of UCC not regulates all of issue so apply common law at the sales contract if article 2 of UCC doesn’t have regulation of the issue. Article 2 targets are all tangible and movable things. It is not limited to merchants (just apply at the sales contract even if the parties are not a merchant) and some rules change if merchants involved article 2. A merchant is one who deals in the goods and has special knowledge regarding the goods. I will treat this paper about main difference between Common law and Article 2 of UCC.
